These Terms of Service ("Terms") are a binding agreement between you and Prosponsive, Inc. ("Prosponsive," "we," "us," or "our") and govern your use of the Prosponsive desktop application, the prosponsive.ai website, and any related services we provide (together, the "Service").

Please read these Terms carefully. By creating an account, by signing in, or by using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use the Service.

1. Who we are

2. Eligibility

The Service is intended for people aged 18 or older. By using the Service you represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers both to you personally and to the organization.

3. Your account

Account creation. You create an account through our authentication provider, Clerk. You must provide accurate information and keep it current.
Account security. You are responsible for keeping your sign-in credentials secure and for all activity that occurs under your account. Notify us at privacy@prosponsive.ai promptly if you suspect unauthorized access.
One account per person. Unless we agree in writing, you may not maintain more than one account.
Account termination. You may delete your account at any time from within the Service or by contacting us. We may suspend or terminate accounts as described in §13.

4. The Service

Prosponsive provides a desktop application that orchestrates AI-powered workflows through components that run locally on your machine. The Service may include features that send data to third-party services you have configured (for example, AI providers you choose). We may change, add to, or remove features from time to time. Significant changes that materially affect paid features will be communicated in advance.

4.1 Your content stays on your machine

The Service is architected so that your conversations, your tool invocations, and your local data stay on your machine unless you explicitly configure an integration that sends them elsewhere. Prosponsive does not collect, cache, or retain conversation content on any server that we operate. See our Privacy Policy at https://prosponsive.ai/privacy/ for details.

4.2 Third-party AI providers

When you configure an AI provider (for example, Ollama for local LLM hosting and models, or a hosted service like OpenAI, Anthropic, AWS Bedrock, Google, Groq, Mistral), your copy of the Service routes conversation content and tool invocations to that provider according to that provider's terms. With a local provider like Ollama, this routing stays on your own machine. You are solely responsible for your relationship with the provider you choose and for any fees the provider may charge you. Prosponsive is not a party to your agreement with your AI provider.

4.3 Third-party integrations

The Service may connect to other third-party services at your direction (for example, communication platforms, storage providers, automation platforms). Those services have their own terms. We are not responsible for third-party services, and your use of them is subject to their terms.

5. Subscriptions, trials, and payment

Free tier. The Service currently offers a free tier subject to usage limits described inside the application and at https://prosponsive.ai.
Paid tiers. If you purchase a paid tier, you authorize us (or our payment processor) to charge the payment method on file for the applicable fee on a recurring basis until you cancel. Fees are listed at the point of purchase.
Payment processor. Payment is processed by a third-party provider (currently Stripe). Card details are collected and stored entirely by Stripe — your payment information never touches our servers. We receive only a payment method token, subscription status, and transaction metadata.
Refunds. Fees are generally non-refundable except as required by law. If you believe you have been charged in error, contact us at privacy@prosponsive.ai within 30 days and we will review in good faith.
Taxes. Fees are exclusive of taxes. You are responsible for any applicable taxes.
Price changes. We may change our pricing. Changes will not apply to the current billing period; they apply to subsequent renewal periods after reasonable notice.

6. Your responsibilities and acceptable use

You agree not to:

Use the Service to violate any applicable law or regulation.
Use the Service to infringe anyone's intellectual-property, privacy, or publicity rights.
Use the Service to harass, threaten, or harm others.
Use the Service to generate or distribute malware, spam, or other harmful code.
Use the Service to generate material that sexually exploits or endangers minors.
Reverse engineer, decompile, or disassemble the Service, except to the extent applicable law expressly permits such activity and only to the extent permitted.
Circumvent, disable, or interfere with security-related features of the Service or features that enforce limitations on use.
Resell, sublicense, or rent access to the Service without our written permission.
Use the Service to scrape or bulk-collect data from third parties in a manner that violates that third party's terms.
Access the Service using automated means (for example, scrapers or bots) in a way intended to overload or disrupt it.
Falsely imply that content you create with the Service was produced or endorsed by Prosponsive.

We reserve the right to investigate and to take action (including suspending or terminating your account) if we reasonably believe you have violated these Terms.

7. Your content

You keep your content. You retain all rights in the content you create with or provide to the Service.
License you grant us. You grant us the limited, non-exclusive, royalty-free license needed to operate and provide the Service to you. We do not use your content to train AI models. We do not share your content with third parties except as described in our Privacy Policy.
You are responsible for your content. You represent that you have the rights necessary for any content you provide and that your content does not violate any law or any third party's rights.
Your content stays on your machine. As described in §4.1, the Service is architected so that your content remains on your machine.

8. Our content and intellectual property

Ownership. The Service, including the desktop application, the website, logos, text, graphics, and other materials we provide, is owned by Prosponsive or our licensors and is protected by intellectual-property laws.
Limited license. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the desktop application and the Service for your personal or internal-business purposes.
Feedback. If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free, worldwide, sublicensable license to use that feedback to improve the Service, without any obligation to you.

9. Privacy

Our Privacy Policy at https://prosponsive.ai/privacy/ describes what personal information we collect and how we handle it. By accepting these Terms you also accept the current Privacy Policy.

10. Third-party content and links

The Service may contain links to third-party websites or surface content produced by third parties (including content produced by AI providers you configure). Those websites and that content are not under our control. We do not endorse and are not responsible for third-party content.

11. Warranties and disclaimers

The Service is provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the above, we do not warrant that:

The Service will meet your requirements or expectations.
The Service will be uninterrupted, timely, secure, or error-free.
Any content produced by or through the Service (including content produced by AI providers you configure) will be accurate, complete, or reliable.
Defects will be corrected.

You are solely responsible for verifying the accuracy and suitability of any output of the Service before relying on it, especially where that output is generated by an AI provider.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the fullest extent permitted by law.

12. Limitation of liability

To the fullest extent permitted by law:

In no event will Prosponsive, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for lost profits, lost data, business interruption, or loss of goodwill, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months immediately preceding the event giving rise to liability, or (b) one hundred US dollars (USD 100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

13. Suspension and termination

By you. You may stop using the Service at any time and delete your account.
By us. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if we are required to do so by law, if your account has been inactive for an extended period, or if we discontinue the Service.
Effect of termination. On termination, your license to use the Service ends. Provisions that by their nature should survive termination (for example, §7, §8, §11, §12, §14, §15, and §16) survive.

14. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Prosponsive, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any content you provide or generate with the Service.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Dispute resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, United States. You and Prosponsive each consent to the personal jurisdiction of those courts and waive any objection to venue. Either party may seek injunctive or equitable relief in any court of competent jurisdiction as appropriate.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will:

Publish a new dated version at https://prosponsive.ai/terms/<date>/, leaving the old version at its own dated URL indefinitely.
Update the "current" version pointer.
Prompt you to review and accept the new version the next time you sign in to the desktop application.

Material changes require your affirmative acceptance before you can continue using the Service. Typo fixes and formatting changes do not. If you do not agree to a new version, you may stop using the Service and delete your account.

18. General provisions

Entire agreement. These Terms (together with the Privacy Policy, incorporated by reference) are the entire agreement between you and Prosponsive regarding the Service.
Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
No waiver. Our failure to enforce any right is not a waiver of that right.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
No third-party beneficiaries. These Terms create no third-party beneficiary rights.
Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.
Notices. We may give notice to you by email to the address on your account, by posting within the Service, or by posting on prosponsive.ai. You give notice to us at privacy@prosponsive.ai or at our mailing address in §1.
Contact for legal notices. Legal notices to Prosponsive should be sent to the mailing address in §1 via our registered agent. You may also send a courtesy copy to privacy@prosponsive.ai.
